ATLANTA, GA – December 14, 2009 — Ebix, Inc. (NASDAQ: EBIX), a leading international supplier of On-Demand software and E-commerce services to the insurance industry, today reconfirmed its anticipated stock split. The company announced that while the Board of Directors has already approved the split in the form of a stock dividend, it has not been made effective till its shareholders have approved the proxy increasing the authorized shares. The increase in authorized shares was necessitated to ensure that the company had the requisite number of shares post split, since the share number will need to go up by a multiple of three.
The special meeting to increase the authorized shares will occur on December 21, 2009. While the Company has already received proxies for the number of votes necessary for such increase, the Company must wait until the special meeting has concluded to set a new record date for the stock split. The new record date is likely to be 21st of December 2009. As such, Ebix expects the 3 for 1 stock split, to occur on or around January 4, 2010.
In a press release dated October 12, 2009, Ebix announced the approval of a three-for-one stock split by its board of directors, subject to the approval by its shareholders of an increase in the number of authorized shares of its outstanding common stock. While Ebix anticipated an earlier record date and distribution date for the stock split, it had to delay the record date in order to comply with regulatory requirements surrounding the special meeting.
